Pledge of high-value assets

Contents of the report:
In relation to the current report no. 8/2014, which informs about the conclusion of the credit agreement, Zespół Elektrowni “Pątnów-Adamów-Konin” S.A. (“Company”) informs that the Company received the information that on 2 April 2014 the District Court in Poznań – Nowe Miasto i Wilda in Poznań, VII Commercial Department – Register of Pledges has made the following entry into the Register of Pledges:
- registered pledge related to the Company’s set of properties and rights related to the facilities used for producing electricity and comprising parts of the Pątnów Power Plant. The registry value of the set of properties and rights comprising the subject of the pledge in the Company’s books of account amounts to: PLN 479,847,187.27.
- registered pledge on the Company’s bank accounts maintained by the following banks: Powszechna Kasa Oszczędności Bank Polski S.A., Polska Kasa Opieki S.A., mBank S.A., Bank Gospodarstwa Krajowego and Bank Millennium S.A.
The subject pledges were established as result of fulfilment of obligations specified in the credit agreement, the conclusion of which was mentioned by the Company in the current report no. 8/2014. The pledges were established for mBank S.A., which acts as the security agents pursuant to the credit agreement. The largest security price of the aforementioned pledges, according to the made entry, amounts to PLN 2,040,000,000.00.
There are no correlations between the Company, the Company’s management or supervisory personnel and the mBank S.A. as well as its management personnel.
The assets subject to registered pledges were deemed as material, as their value exceeded 10% of the Company’s equity.
Legal basis: § 5 section 1 item 1 and § 7 of the Finance Minister’s Regulation of 19 February 2009 on the Current and Periodic Information Transmitted by Securities Issuers and the Conditions for Recognizing the Information Required by the Regulations of a Non-Member State as Equivalent.
