Obtaining information about the lawsuit regarding the resolutions of the EGM

Content of the report:
ZE PAK SA ("Company") informs that today it has received information regarding the filing of a lawsuit regarding the resolutions adopted by the Extraordinary General Meeting on October 7, 2024 ("EGM"). Mr. Piotr Żak's attorneys filed a lawsuit in the District Court in Poznań, IX Commercial Division, for a declaration of non-existence, or a declaration of invalidity, or repeal of resolutions, without a motion for interim relief. The subject of the appeal are 3 resolutions of the EGM of ZE PAK SA:
- Resolution No. 3 of the Extraordinary General Meeting on determining the number of members of the Supervisory Board,
- Resolution No. 5 of the Extraordinary General Meeting regarding the dismissal of Mr. Tobias Solorz from membership in the Supervisory Board of the Company,
- Resolution No. 6 of the EGM regarding the dismissal of Mr. Piotr Żak from membership in the Supervisory Board of the Company.
The Company informs that the content of the above-mentioned resolutions was published by the Company in current report no. 20/2024 of October 8, 2024.
The content of the lawsuit is currently being analyzed by the Company. The Company will file a response regarding the lawsuit to the District Court in Poznań, IX Commercial Division within the set deadline. If necessary, the Company will inform about further stages of the proceedings in accordance with applicable law.
Legal basis: § 19 sec.1 item 10 of the Minister of Finance's Regulation on current and periodic information to be published by issuers of securities and conditions for recognition as equivalent of information whose disclosure is required under the laws of a non-member state, dated March 29th 2018
